JSimple LLC ("JSimple," "we," "us") operates jsimple.com and the related products and services accessible through it (collectively, the "Services"). By accessing or using the Services, you agree to these Terms of Use ("Terms"). If you don't agree, please don't use the Services.
If you are using the Services on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to that organization.
02Changes to these Terms
We may update these Terms from time to time. When we make material changes we will post the updated Terms here with a new "Last updated" date and, where appropriate, notify you directly. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
03Permitted use
You agree not to use the Services to:
- Violate any law, regulation, or third-party right (including intellectual property and privacy)
- Send spam, malware, phishing attempts, or other harmful content
- Attempt to reverse engineer, decompile, or extract our source code
- Scrape, harvest, or otherwise collect data from the Services without our written permission
- Interfere with the operation of the Services, other users, or our infrastructure
- Misrepresent your identity or affiliation
- Use the Services to develop a competing product
We reserve the right to suspend or terminate access for any violation, with or without notice.
04Your content & submissions
You own what you submit. Content you upload, input, or otherwise provide to the Services ("Your Content") remains yours. We don't claim ownership.
By submitting Your Content, you grant JSimple a limited, non-exclusive license to use, host, process, and display Your Content only as necessary to provide the Services to you. We do not use Your Content to train AI models — ours or anyone else's — without your explicit written consent.
You represent that you have all necessary rights to submit Your Content and that doing so does not violate any law or third-party right.
05Our intellectual property
The Services, including our software, designs, text, graphics, logos, and trademarks, are owned by JSimple or our licensors and are protected by US and international intellectual property laws. You may not copy, modify, distribute, sell, lease, or create derivative works without our prior written consent.
JSimple, Velzora, Lociro, and our logos are trademarks of JSimple LLC. Other names and marks belong to their respective owners.
06Third-party links & services
The Services may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, terms, or privacy practices of those sites or services. Your interactions with them are between you and the third party.
07Communications
By providing your contact information, you consent to receive communications from us electronically — including transactional messages, product updates, and security notices. You can opt out of marketing communications at any time.
If you provide a phone number during product registration, you consent to receive SMS or voice communications related to authentication (OTP), password resets, and other security-related notifications. We do not send unsolicited marketing texts.
08Disclaimer of warranties
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, JSIMPLE DISCLAIMS ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected. AI-generated outputs may contain errors and should not be relied upon for legal, medical, financial, or other professional decisions without independent verification.
09Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, JSIMPLE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, EVEN IF JSIMPLE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so the above limitations may not apply to you in their entirety.
10Termination
You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if continued provision would create operational, legal, or security risk.
Upon termination, your right to use the Services ends, but sections of these Terms that by their nature should survive (intellectual property, disclaimer, limitation of liability, governing law) will continue in effect.
11Governing law & disputes
These Terms are governed by the laws of the State of Connecticut, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Hartford County, Connecticut, and you consent to the jurisdiction and venue of those courts.
If any provision of these Terms is held to be invalid or unenforceable, the remainder will continue in full force, and the invalid provision will be replaced by a valid one most closely matching the original intent.
12Copyright infringement
If you believe content on our Services infringes your copyright, please send a notice under the Digital Millennium Copyright Act (17 U.S.C. § 512(c)) to legal@jsimple.com. Include all information required by the DMCA. We will respond to properly submitted notices in accordance with the law.
